Terms and conditions

1.  Introduction

This agreement specifies the terms and conditions that apply to you as a user, herein after (“you” or “User”) of our website and of the documents available to subscribers. As a User you acknowledge that you are entering into a legally binding agreement with the National Payments System Institute based on the terms of this User Agreement and our Privacy Policy. You as a User agree to:

  • Comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, tax laws, and regulatory requirements;
  • Use the materials available to you strictly in accordance with this User Agreement;
  • Provide accurate information to us and update it as necessary;
  • Review and comply with the National Payments System Institute Privacy Policy;
  • At all times act in a professional manner;
  • Share accurate and truthful information about yourself and your experiences; and
  • Refrain from inappropriate online conduct.

The National Payments System e-books and e-modules and other custom developed materials are protected by the laws of copyright of the United States and other countries throughout the world.

Please read this User Agreement carefully before accessing or using your subscription.  By accessing or using online products or services, you agree to be bound by the terms and conditions set forth below. If you do not wish to be bound by these terms and conditions, you may not access or use your Online Account. The National Payments System Institute may modify this User Agreement at any time and such modifications shall be effective immediately upon posting of the modified Agreement. You agree to review the User Agreement periodically to be aware of such modifications and your continued access or use of Online Access shall be deemed your conclusive acceptance of the modified Agreement.

2.  Term of subscription

The National Payments System Institute subscription term is 12 months. The start
date of the subscription is the date that our Payment Gateway provider, Authorize.Net first charges your account.

3.  The License and Conditions

By purchasing a National Payments System Institute subscription, the National Payments System Institute grants you a personal non-exclusive and non-transferable license to access the National Payments System Institute e-book and e-modules. You may print portions of the e-book and e-modules content for your personal and noncommercial use. Full-scale reproduction of e-book and e-module contents is expressly prohibited.

You may not use the e-books and e-modules on more than one computer system concurrently, make or distribute unauthorized copies of the e-books and e-modules, or use, copy, modify, or transfer the e-books and e-modules, in whole or in part, except as expressly permitted by this Agreement. If you transfer possession of any e-book or e-module to a third party, the license is automatically terminated. Such termination will be in addition to any civil or other remedies available to the National Payments System Institute.

4.  Copyright  

The entire contents of www.nps-institute.com all e-books, e-modules, materials, programs and services are copyrighted under the United States copyright laws. The owner of the copyright is the National Payments System Institute.  Online Access via www.nps-institute.com is solely for the Users non-commercial use. Copying, redistribution, retransmission or publication of any downloaded material including e-books and e-modules, is strictly prohibited without the express written consent of National Payments System Institute.

You agree not to change or delete any proprietary notices from materials downloaded from the National Payments System Institute. You agree that you shall have no recourse against the National Payments System Institute for any alleged or actual infringement or misappropriation of any proprietary right in your communications to us.

5.  Use of online access via www.nps-institute.com

You understand that the National Payments System Institute may revise the content of its website and online e-books and e-modules from time to time to meet its training and capacity building objectives. It may add or remove materials that it considers as unnecessary or no longer relevant. Once the material is removed it will not be accessible and will not be available upon request.

You understand that your subscription is a limited license to use the content only between the time access is granted and the cancellation of your subscription by you.

Your subscription is non-transferable and is to be used only by you. You will not share the username/user id and password with anyone, even if that person has his or her own subscription. Such sharing of usernames/user ids and passwords is a violation of this User Agreement and will result in immediate suspension of your privileges without a refund. The National Payments System Institute monitors its website, including the use of Online Access, for visitors and enforces its one subscriber-one user policy diligently.

6.  Secure online payment process

The National Payments System Institute have partnered with Authorize.Net to accept and process credit card payments safely and securely.

The Authorize.Net Payment Gateway manages the complex routing of sensitive customer information through the credit card processing networks.

Authorize.Net adheres to strict industry standards for payment processing, including:

  • 128-bit Secure Sockets Layer (SSL) technology for secure Internet Protocol (IP) transactions;
  • Industry leading encryption hardware and software methods and security protocols to protect customer information;
  • Compliance with the Payment Card Industry Data Security Standard (PCI DSS).

7.  Automated Recurring Billing™ (ARB)

E-books, e-modules and other subscribed content are available only through the purchase of an annual subscription. In order to provide you with uninterrupted service, your National Payments System Institute online subscription renews automatically at the end of the applicable subscription period at the rate then in effect.  Authorize.Net will automatically charge your payment card for an auto-renewing subscription unless you cancel your subscription by logging in with your username and password, and then selecting “cancel subscription.”  TheEdit Account Info >> page can be accessed through a link on the home page. Annual subscribers will be sent a reminder notice before the expiration of your subscription term that alerts you to the upcoming subscription renewal charge.

Unless you cancel your subscription, you agree to pay, using a valid payment card which Authorize.Net accepts, all fees and charges  you have incurred through your account, including the annual subscription charges to access the National Payments System Institute subscription based content.

8.  Fees and surcharges

The National Payments System Institute reserves the right to increase fees and surcharges, including fees for subscription based products and services, or to institute new fees at any time, upon reasonable notice posted in advance on www.nps-institute.com or sent to you based on contact information you provide. Notwithstanding the foregoing, when you purchase a subscription on an annual basis, your rate remains in effect throughout the subscription year, and is subject to increase only for subsequent subscription years.

9.  Cancellation policy

You may cancel your subscription at any time subject to the following terms:

If you purchase a one-year subscription, which is billed once annually at the time you subscribe, you may cancel at any time during that subscription year by logging in to your “Edit Account Info >>” page and selecting “cancel subscription.”

No refunds or credits are issued for partially used or cancelled subscriptions.

In the event of a breach of security on your part, you will remain liable for any unauthorized use of your subscription until you update your Registration Data. If your payment card expires, is canceled, is lost or is subject to use without your authorization, or if your Subscription-Based Service is subject to use without your authorization, go to your “Edit Account Info >>” page to update your Registration Data.

10.  Password

As part of the registration and subscription process, you will select a password. This password is for your individual use only. You are solely responsible for maintaining the confidentiality of any password you use to access the subscription-based content and other products and features, and agree that the National Payments System Institute will have no obligations with regard thereto.

11.  Forums and communications

The National Payments System Institute may make available to Users e-mail notices, newsletters, blogs, message boards, user product reviews and ratings tools, or other interactive communication facilities through the website www.nps-institute.com. You are solely responsible for the content of any transmissions you make to the National Payments System Institute website or any materials you add to the website, including to any forum or blog.

The National Payments System Institute and its Affiliates do not endorse or accept any communication as their own or representative of their views. By transmitting any public communication to the National Payments System Institute website, you grant the National Payments System Institute an irrevocable, non-exclusive, worldwide, perpetual, unrestricted, royalty-free license (with the right to sublicense) to use, reproduce, distribute, publicly display, publicly perform, modify, edit, create derivative works from, incorporate into one or more compilations and reproduce and distribute such compilations, and otherwise exploit such communications, in all media now known or later developed. You warrant that you have the right to grant these rights to the National Payments System Institute. You hereby waive all rights generally known as “moral rights” in your communications to the extent they can be waived, under any existing or future law of any jurisdiction.

The National Payments System Institute reserves the right, but has no obligation, to monitor the its forums and blogs and edit, modify or delete any communications (or portions thereof) which the National Payments System Institute in its sole discretion deems inappropriate, offensive or contrary to any National Payments System Institute policy, or that violate this User Agreement.

You agree to use the National Payments System Institute website, blogs, forums and products that you purchase through www.nps-institute.com including the subscription based content only in a non-commercial manner. You specifically agree not to post, transmit or otherwise distribute to www.nps-institute.com any material containing any solicitation of funds, advertising or solicitation for goods or services.

12.  Indemnification

You hereby agree to indemnify, defend and hold harmless the National Payments System Institute and its Affiliates from and against any and all liability and costs incurred by the National Payments System Institute or the Affiliates in connection with any claim arising out of any breach or alleged breach of any of your representations, warranties or obligations set forth in this User Agreement. You shall cooperate as fully as reasonably required in the defense of any claim. The National Payments System Institute reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you and you shall not in any event settle any matter without the written consent of the National Payments System Institute.

13.  Disclaimer and warranty

Except as expressly set forth herein, the site www.nps-institute.com and all products and services (including all content, functions, subscription based products or other paid products and services, materials and information made available therein or accessed by mean thereof) are provided “as is” and “as available”. The National Payments System Institute does not warrant that the website or subscription based products or services will be uninterrupted or error free. Those defects will be corrected, that the site, including blogs and forums or the servers on which the website is hosted, are free of viruses or other harmful components.

To the fullest extent permissible by law, the National Payments System Institute and its Affiliates disclaim all express or implied warranties of any kind, including, but not limited to, warranties of title or implied warranties of merchantability, fitness for a particular purpose (whether or not the purpose has been disclosed), compatibility, security, accuracy, or non-infringement.

14.  Limitation of liability

Use of the website, www.nps-institute.com is at your own risk. You assume all responsibility for and risk of loss resulting from your downloading and or use of e-books, e-modules, documents contained in the National Payments System Institute library, information, communications, content, or other material accessed through or obtained by mean of the website.

Under no circumstances shall the National Payments System Institute or its Affiliates, or their respective directors, officers, employees and agents, or any third-party provider of payment, telecommunications or network services, website software or website content for the National Payments System Institute or its Affiliates, be liable for any indirect, incidental, punitive, special, or consequential damages (including but not limited to damages for personal injury and or death, lost revenues or profits, loss of business or loss of data) that are directly or indirectly related to your use or inability to use the website or subscription based content.

If the National Payments System Institute, its Affiliates, or other providers of telecommunications, payment or network services, content of software has been advised of the possibility of such damage, regardless of whether such liability is based in Tort/Delict (including negligence), contract or any other legal or equitable theory, the total liability of the National Payments System Institute  and its Affiliates hereunder is limited to the amount, if any, actually paid by you for access to and use of the subscription based products and services.  You hereby release the National Payments System Institute and its Affiliates from any and all obligations, liabilities and claims in excess of this limitation.

15.  Applicable law and dispute resolution

This User Agreement shall be governed by and construed in accordance with the laws of Boston, Massachusetts, and to the extent such courts have jurisdiction, by the State of Massachusetts or the United States District Courts located in Massachusetts. The parties hereby agree that the appropriate forum for any disputes arising out of this Agreement or the transactions contemplated hereby shall be the city courts of Boston, Massachusetts, the state courts of the State of Massachusetts, and the United States District Courts located in Massachusetts, and the parties hereby irrevocably consent to the exclusive and personal jurisdiction of such courts.

Any cause of action or claim you may have with respect to the National Payments System Institute subscription based products and services must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. National Payments System Institute’s failure to insist upon or enforce strict performance of any provision of this User Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. The National Payments System Institute may assign its rights and duties under this Agreement to any party at any time without notice to you.
